Sergey is Of Counsel, Co-Head of ALRUD Asia-Pacific Desk. His two core areas of focus are corporate M&A and financing.

Sergey has a vast experience, advising businesses from Japan, Korea and other Asian countries on their operations in Russia. Prior to joining ALRUD, Sergey spent 19 years in Japan, working as an associate, and then as a partner, at the Tokyo offices of international law firms.

Sergey has advised investors on their acquisitions in the Russian oil & gas, automotive, fin-tech, telecommunications, advertising, timber, fishery and other sectors.

In addition to his M&A experience, Sergey has advised on the implementation of large-scale PSA projects for the development of oil and gas deposits in the Russian Far East, including representation of the lenders to such projects, as well as some of their Japanese and US sponsors, focusing on both extraction facilities and export infrastructure, such as pipelines and sea terminals

Sergey is admitted to the Bar of New York, the Bar of Moscow City, as well as the Dai-ni Tokyo Bar Association as a Gaikokuho jimu bengoshi (Authorized Consultant in Foreign Law), for the laws of New York State and the Russian Federation. He is currently the only foreign lawyer authorized in Japan to advise on Russian law there.

Sergey is a graduate of the Law Faculty of the Law and State Institute of the Russian Academy of Sciences (LL.M., 2000), Harvard Law School (LL.M., 1992) and University of Sofia Faculty of Law (LL.B., 1988). He speaks English, Japanese, Russian and French.

on the international legal framework, for the construction of a submarine pipeline, for the export of natural gas from Sakhalin Island to Japan; advised on Russian administrative regulations and public international law*.

Conducted a due diligence review of a medium-size Russian oil & gas company

based in Irkutsk, for a consortium of Japanese energy companies; reviewed its exploration and extraction permits, project documentation, real estate rights to use the surface area above its oil & gas fields, title to its extraction facilities and pipelines, reviewed environmental and other compliance*.

A large multilateral bank

on a loan, which financed the initial development of an Arctic oil field in the Komi Republic, in the north-eastern part of European Russia, by a small independent operator committed to environmental protection and transparency*.

A Japanese oil major

on its acquisition of a minority shareholding in a Russian oil & gas venture entity, set up in Irkutsk Region by a Japanese government entity, and a midsize Russian oil & gas company*.

A major Japanese trading house

on its USD loan to a Russian company In Primorsky Region of the Russian Far East, engaging in the production and export of rare chemicals; the loan was secured by a floating charge over the proceeds from the exports, which were wired into an escrow account, opened with a Hong Kong bank*.

One of the leading Japanese advertising agencies

in its first acquisition of a Russian company, from a well-established Russian media-holding group*.

One of the largest Japanese wood-frame residence developers

in its acquisition of a major logging company, in Primorsky Region of the Russian Far East*.

On 12 July, Maxim Alekseyev, Senior Partner, Anton Dzhuplin, Partner, and Sergey Milanov, Of Counsel and Co-Head of the firm’s Asia-Pacific Desk, held a seminar for members of the Japan Association for Trade with Russia and the Newly Independent States (ROTOBO) in Tokyo. Our lawyers told the Japanese audience about the business operations of companies from “unfriendly” countries on the Russian market, as well as explained the regulations covering exit transactions involving the sale of shares or stakes in the Russian companies by foreign shareholders. They also shared practical advice on the legal aspects of implementing such transactions. In the seminar, the following topics were covered: {{1.}} "Current trends and strategies of actions of companies from “unfriendly” countries in the Russian market. What foreign companies that continue to operate in the Russian Federation should keep in mind" (speaker - Maxim Alekseyev). {{2.}} "Developments in the regulation of transactions involving the sale by foreign shareholders from 'unfriendly' countries of shares or stakes in their Russian companies" (speaker - Anton Dzhuplin). {{3.}} "A summary of the procedures for the liquidation of a Russian subsidiary and the closing of a Russian branch by a foreign company from an 'unfriendly' jurisdiction'" (speaker - Sergey Milanov). The above topics were followed with a high interest by the audience.

ALRUD Law Firm made a presentation at a webinar for the Japanese Business Association at the Japanese Business Club
On June 23rd, Sergey Milanov, ALRUD Of Counsel, Co-Head of the Asia-Pacific Desk, took part in a webinar for the Japanese Business Association, which was established, last year, as part of the Japan Business Club (JBC). The Association was established to promote the business development of Japanese companies, located in Russia. Sergey highlighted the key points of movable property pledge, to which the foreign distributors, who supply their goods to Russian buyers on credit and provide installment payment services, should pay special attention. The representatives of Marubeni Rubber Rus and SBI Bank also spoke on this urgent issue.
