Pravo.ru has published the "Corporate Digest for December – January: Change of Domodedovo Owner and New Rules for Participatory Shares", where experts from law firms commented on high-profile cases and provided their recommendations.
Alexander Kleschev, Partner at ALRUD Law Firm, noted that one of the key trends has been the extension until the end of 2026 of the right for Russian companies in strategic sectors to disregard the votes of participants, shareholders, and members of collegial bodies from unfriendly countries. This measure allows to avoid a “block” on decisions because of participants from unfriendly countries, thereby mitigating the risk of disruption to key business processes.
On the one hand, this unblocks manageability and stability of companies that retain foreign investors from unfriendly jurisdictions in their capital. On the other hand, this increases the legal toxicity of any transactions involving such companies", emphasizes Alexander.
