ALRUD Law Firm advised the French Automobile Educational Association ‘GNFA’ on the conclusion of a corporate dispute with a former minority shareholder, a Russian legal entity.
Within this case, ALRUD specialists elaborated a comprehensive strategy to resolve the dispute. This related to the exclusion of the majority shareholder, our Client, from the Russian limited liability company. The complexity of this case was that, after the partners break-up, the Russian company should have retained a limited right to use the designation, a distinctive part of the Client's and Company's corporate name.
As a result of the analysis, our recommendations and successful negotiations, the parties reached an amicable settlement of the dispute. They concluded an agreement under which the company was granted limited rights to use the designation, on condition of withdrawing from proceedings. The ALRUD team elaborated an agreement and provided comprehensive support to the Client on this case, including litigation support.
This project has illustrated the importance and necessity of a comprehensive assessment of a corporate dispute, taking into account the common interest of the parties, in using the designation, after the termination of de facto relationships between them.
