ALRUD Law Firm successfully represented Fiat Chrysler Automobiles N.V., an Italian-American automotive corporation, securing clearances, with the Federal Antimonopoly Service (‘FAS Russia’) and the Central Bank of Russia, of its merger with Peugeot S.A., a French multinational manufacturer of automobiles and motorcycles.
The transaction created Stellantis, the world’s 4th biggest carmaker. The deal value was $38 billion.

During the implementation of this project, specialists of ALRUD’s Antitrust Practice conducted an in-depth competitive analysis, elaborated and designed the filing strategy, assisted the parties in the preparation and collection of the documents required for the merger filing, prepared the notification, supported the review process in FAS Russia and advised our Client on various aspects of the Russian merger control regime. Extensive practical experience enabled ALRUD’s Antitrust Team to obtain an unconditional clearance in Phase II, despite the parties to the transaction having significant overlaps in the Russian market. After that, due to the changes in the transaction structure, a second merger filing was prepared and submitted to FAS Russia. ALRUD’s Antitrust Team facilitated its smooth and prompt consideration by the competition regulator to complete this transaction.
Specialists of ALRUD’s Banking & Finance Practice supported our Client during the preparation and collection of all the documents required for the filing with the Central Bank and represented our Client during the clearance process. As a result, the Central Bank unconditionally cleared the transaction.
